Terms and Conditions

This Affiliate Program Agreement ("Agreement") is entered into by and between ARCA Works, LLC, a Limited Liability Company organized under the laws of North Carolina, with its principal place of business at 379 North Louisiana Avenue, Asheville, NC 28806 ("Company"), and the individual or entity ("Affiliate") who has agreed to participate in the Company's Affiliate Program ("Program").

1. Enrollment and Participation

1.1. By participating in the Program, Affiliate agrees to be bound by the terms and conditions set forth in this Agreement.

1.2. Affiliate must complete the Program application accurately and provide all requested information.

1.3. Company reserves the right to reject any application for any reason.

2. Affiliate Responsibilities

2.1. Affiliate agrees to promote Company's products/services in a truthful and ethical manner.

2.2. Affiliate shall use only approved marketing materials provided by Company for promotional activities.

2.3. Affiliate shall not engage in any form of deceptive, misleading, or spammy marketing practices.

3. Commission and Payment

3.1. Company agrees to pay Affiliate a commission based on valid sales generated through Affiliate's unique referral links.

3.2. Commission rates and payment terms shall be outlined in a separate document or section of the Company's website.

3.3. Company reserves the right to adjust commission rates, payment terms, and program details at its discretion.

4. Termination

4.1. Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party.

4.2. Upon termination, Affiliate will no longer earn commissions for future sales, but any earned and unpaid commissions shall be paid according to the Company's payment schedule.

5. Intellectual Property

5.1. Affiliate acknowledges and agrees that all intellectual property, including trademarks, copyrights, and proprietary materials, associated with Company's products/services remain the sole property of Company.

5.2. Affiliate is granted a limited, non-exclusive, non-transferable right to use approved marketing materials solely for the purpose of promoting Company's products/services during the term of this Agreement.

6. Confidentiality

6.1. Affiliate shall keep all non-public information related to the Program, including commission rates, payment terms, and marketing strategies, confidential.

7. Limitation of Liability

7.1. Company shall not be liable for any indirect, special, incidental, or consequential damages arising out of or in connection with this Agreement or Affiliate's participation in the Program.

8. Governing Law and Dispute Resolution

8.1. This Agreement shall be governed by and construed in accordance with the laws of North Carolina.

8.2. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of North Carolina.

By signing up for the Program or using your unique referral links, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
